高阳科技(00818)：正在进行Tchain重组
高阳科技(00818)发布公告，为改善其公司架构以及更好地进行管理及资源分配，集团正在进行Tchain重组，涉及其现时从事金融科技解决方案及服务业务的集团公司。
作为Tchain重组的一部分，第一步：于2024年4月28日，Tchain及王元奇先生组建北京随信数科(注册资本为人民币100万元)，分别持股62.5%及37.5%;第二步：于2024年4月28日，Tchain、北京随信数科及王元奇先生订立Tchain控制性协议;第叁步：于北京随信数科注册成立并签立Tchain控制性协议后，北京随信数科收购于Tchain重组前随行付集团旗下的北京随信云链集团。
于Tchain重组前，北京随信云链集团以新重庆结行控制性协议(掉期前)的方式透过重庆结行入账列为公司拥有80.04%权益的附属公司。于Tchain重组后，北京随信云链集团将继续入账列为公司拥有80.04%权益的附属公司(但以Tchain控制性协议的方式透过北京随信数科)。
因此，于紧接Tchain重组前及于紧随Tchain重组后，集团于北京随信云链集团的实际权益并无变动。
