小黄鸭德盈(02250)拟折让约6.0%以现金方式配发1543.93万股 净筹款项拟用作向德趣科技的注资
小黄鸭德盈(02250)发布公告，于2024年4月26日，公司与梦作坊订立认购协议，据此，梦作坊同意认购，而公司有条件同意以现金方式发行1543.93万股认购股份，认购价为每股认购股份1.1港元，较股份于认购协议日期在联交所所报的收市价每股1.17港元折让约6.0%，相当于认购代价约1700万港元(相当于约人民币1570万元)，惟须遵守及受限于当中所载的条款及条件。
所得款项净额约1690万港元(相当于约人民币1560万元)拟用作向德趣科技的注资。公司将向联交所申请批准认购股份上市及买卖。认购股份将根据特别授权进行配发及发行。
小黄鸭德盈(苏州)文化投资有限公司(OPCO)集团采用合约安排，在中国适用法律及法规下外商投资受禁止的行业中以在岸实体身份经营其中国业务，包括网络游戏服务的开发、运营及发行。
鉴于上述对外商投资的限制或禁止，WFOE、OPCO与注册拥有人之间缔结合约安排对集团开展网络游戏服务开发、发行及运营而言属必要。因此，WFOE、OPCO与注册拥有人将订立合约安排，使OPCO的财务业绩、其业务的全数经济利益与风险流入WFOE，并让WFOE获得OPCO的实际控制权。
作为合约安排的一环，WFOE、OPCO与注册拥有人将订立贷款协议，据此，WFOE 将按零利率向OPCO提供总额为人民币2000万元的一次性贷款，作为其向德趣科技的注资。
