中智全球(06819)完成出售Inception Point Systems Ltd. 将派特别中期股息每股4.11港元
中智全球(06819)公布，已于2024年4月25日完成出售Inception Point Systems Ltd.全部已发行股本。于交割时，IntelliCentrics Holding与买方概无协定卖方增补金额。因此，最终购买价为2.465亿美元(即最低购买价)。
交割后，IntelliCentrics Holding不再持有(直接或间接)目标公司或任何其他目标集团公司任何股权。
董事会已议决宣派相等于约2.2亿美元的金额作为特别中期股息，即最终购买价减一般预留金额。应付予合资格股东(中央证券及TricorBVIHoldco除外)的特别中期股息为每股股份4.11港元。
由于所有尚未达成的条件已获达成，待派付特别中期股息完成后，撤销股份于联交所的上市地位将于2024年5月8日(星期三)上午九时正生效。
此外，预期公司将根据公司法聘用一名自愿清盘人，该清盘人将负责变现清盘建议展开时公司剩余资产的任何剩余价值。合资格股东(不包括中央证券及TricorBVIHoldco)将有权按比例收取在自愿清盘过程中出售该等资产所得的任何现金所得款项(于悉数清偿债权人的任何债权、就建议事项产生的费用及开支以及清盘费用后)。然而，预计公司清盘后将不会有重大现金所得款项可供分配。
