未来世界控股(00572)：拟出售天鹰有限公司
未来世界控股(00572)发布公告，于2024年4月15日，卖方(公司全资附属公司美意控股有限公司)与买方李世章先生订立买卖协议，卖方有条件同意出售并促使公司间贷款的贷款人将公司间贷款的利益转让予买方，而买方有条件同意收购目标公司(天鹰有限公司)全部已发行股份及受让公司间贷款，代价为3800万港元(可予以调整)。完成后，目标公司将不再为公司的附属公司，且目标公司的财务业绩将不再综合并入集团的财务报表。
目标公司主要从事投资控股。目标公司为该物业的法定及实益拥有人，包括九龙内地段3250号的余下部分的土地及建于其上的楼宇(称为九龙官涌街20号)，连同持有、使用、占有及享有地下(包括其庭院及楼宇上盖的屋顶平台)的唯一及独有权利及特权。该物业为目标公司的唯一重大资产。
集团一直持续优化其物业投资组合。经定期检讨其投资组合后，集团认为该物业大幅增值的机会有限。因此，董事会认为出售事项有助于集团将其于该物业的投资价值变现，并提高集团的财务灵活性。出售事项将为集团带来所得款项净额约3785万港元(可予以调整)，以应付一般营运资金，并为日后的投资机会预留额外储备资金。
