安德利果汁(02218)：安德利集团已偿还霖安商贸借款合同项下全部本金及利息
安德利果汁(02218)发布公告，2024年4月15日，公司收到安德利集团转来的中国证券登记结算有限责任公司出具的《过户登记确认书》，获悉安德利集团所持有的公司股份400.59万股流通股已于2024年4月12日被司法扣划至霖安商贸证券帐户。同时获悉安德利集团已于2024年4月12日偿还霖安商贸借款合同项下全部本金及利息，鉴于上述情况，安德利集团与霖安商贸于2024年4月13日就债权债务了结情况、霖安商贸名下标的股票划回登记至安德利集团名下以及相关权益安排等事项签署了协议书。
标的股票被司法扣划前，安德利集团持有公司股份5465.85万股，占总股本比例为15.66%，持有的表决权比例为15.66%。本次司法扣划及协定签署后，霖安商贸名下的标的股份表决权委托给安德利集团，安德利集团持有公司股份5065.27万股，占总股本比例为14.51%，持有的表决权比例仍为15.66%。公司控股股东及其一致行动人合计持有公司股份权益为1.75亿股，占公司总股本的50.26%，未发生变动。本次司法扣划及表决权委托等权益安排不会导致公司的控股股东和实际控制人发生变化，不会对公司的日常经营、公司治理产生影响。
