百融云-W(06608)：建议采纳2024年股份计划及受限制股份单位计划
百融云-W(06608)发布公告，于本公告日期，公司现有三项股份计划，即2019年雇员持股计划、2021年雇员持股计划及2021年股份奖励计划。为符合上市规则新第17章(自2023年1月1日起生效)的要求，董事会已决议建议采纳2024年股份计划及受限制股份单位计划(其条款将遵守上市规则新第17章下的所有适用规定)以取代2021年雇员持股计划和2021年股份奖励计划。
采纳2024年股份计划及受限制股份单位计划以及取代2021年雇员持股计划和 2021年股份奖励计划须待股东批准2024年股份计划后方可作实。紧随2024年股份计划及受限制股份单位计划生效后，公司其后不得根据2021年雇员持股计划和2021年股份奖励计划授予任何进一步购股权及奖励，除根据2021年雇员持股计划已授出及未行使的任何购股权及根据2021年股份奖励计划已授出及未归属的奖励股份将按照塬授予条款以及2021年雇员持股计划及2021年股份奖励计划的相关计划规则继续有效并可予行使及╱或归属。
股东应注意，2019年雇员持股计划已经在上市日期后停止授出任何购股权。
