中国有色矿业(01258)发布公告，于2024年4月9日(交易时段前)，公司、卖方及配售代理订立配售及认购协议，据此，卖方已同意委任配售代理，而配售代理已同意担任卖方的代理人，竭诚促使买方以配售价购买合共最多1.63亿股现有股份;及卖方已同意认购，而公司已同意按与配售价相同的认购价向卖方发行合共最多1.63亿股新股份，于各情况下，均按配售及认购协议所载的条款及受其条件所限行事。
销售股份的数目占：于本公告日期已发行股份总数的约4.36%;及认购事项完成后已发行的经扩大股份总数的约4.18%(假设自本公告日期起至认购事项完成时，除公司发行认购股份外，已发行股份总数并无变动)。
认购事项所得款项净额(经扣除公司及卖方就配售事项及认购事项产生的所有费用、成本及开支后)预期约为9.72亿港元。认购价与配售价相同，为6.0港元，较于2024年4月8日(即紧接配售及认购协议日期前的交易日)在香港联交所所报的收市价每股股份6.94港元折让约13.54%。
