中国健康科技集团(01069)终止收购留坝县佳仕森中药综合开发52%股权
中国健康科技集团(01069)发布公告，有关收购目标公司(留坝县佳仕森中药综合开发有限公司)52% 股权的非常重大收购事项的相关事宜。于签署股权买卖协议后，该公司随后对卖方进行了详细的尽职调查及其他工作。然而，应该公司要求，卖方未能向该公司提供令人满意的尽职调查文件。经该公司与卖方友好协商，订约双方决定终止收购事项。
于2024年4月8日，该公司(作为买方)与卖方订立终止协议(终止协议)，订约双方已不可撤回地同意终止股权买卖协议，自终止协议日期起生效(有关于终止后仍生效的保密条文除外)。
根据终止协议，除有关保密条文外，订约双方于股权买卖协议项下各自的责任及义务应获解除、放弃、撤销及终止，自终止协议日期起生效，且订约双方不可撤回地同意不会就有关股权买卖协议的事宜向另一方追讨任何该公司或卖方提出或可能提出的任何类别的过往、现有及未来申索或法律诉讼。
董事会认为，终止协议将不会对本集团的业务、运营或财务状况产生任何重大不利影响。
