上置集团(01207)拟出售上海金心51%股权
上置集团(01207)公布，于2024年4月8日，该公司及若干间接全资附属拟向中崇投资集团有限公司出售上海金心51%股权及转让金心债权项下的权利，总代价为人民币34.1亿元(可予调整)减宁波众庆款项。
于本公告日期，上海金心由该公司透过该等股权卖方间接拥有51%股权，惟并非公司附属公司。于出售事项完成后，该公司将不再于上海金心拥有任何权益。
据悉，上海金心主要从事上海大兴街项目(由上海金心全资拥有的物业权益)开发，其主要资产为位于上海黄浦区大兴街第717–719号的土地。上海大兴街项目占地面积37,129平方米。其规划开发成高端住宅、保留保护建筑及社区商业物业。上海大兴街项目尚处于土地徵收阶段，且于出售事项完成后将受买方控制。因此，有关取得该项目预售证的时间表须视乎买方对上海大兴街项目的计划及该物业的发展进度，惟须待相关机构批准后，方可作实。据公司所知及根据于磋商过程中与买方的讨论，预计将于2026年取得预售证。
公告称，出售事项所得款项将提高公司的现金流状况，以及提供解决方案解除银团贷款及集团提供的担保，降低整体债务水平，补充一般营运资金，并缓减集团目前正面对的法律及营运风险。
