恒大汽车(00708)拟议交易及债转股将不再进行
恒大汽车(00708)发布公告，于本公告日期，拟议交易及债转股的条款修订尚未取得任何进一步进展。公司确认，拟议交易及债转股将不再进行。
因此，公司将不会召开股东大会以批准，亦不会刊发任何内容有关(其中包括)特别授权、纽顿集团股份认购协议、拟议交易、清洗豁免、建议修订、债转股认购协议、抵销协议及债转股的通函。公司将不再就拟议交易及债转股的进展进一步刊发每月公告。
由于股份认购不再进行，根据收购守则规则26，认购人概无义务就其及与其一致行动人士尚未拥有或同意收购的所有已发行股份提出无条件强制性全面要约。公司将不会向执行人员提出申请，寻求其同意特别交易。
