吉盛集团控股(08133)：终止合营公司
吉盛集团控股(08133)发布公告，公司与合营伙伴于2023年1月20日就成立三间合营公司订立合营协议。
如公司于先前公告及通函所述，合营协议旨在成立合营公司，以在中国香港、中国内地及海外从事包括但不限于文化产业及餐饮的品牌经授权服务。根据合营协议，对合营公司的出资总额约定不超过3000万港元，而公司及合营协议的合营伙伴的出资比例将分别为51%及49%。合营协议将于满足订明条件(包括经各订约方内部批准)后方为有效。
然而，于本公告日期，合营公司I及合营公司II尚未开始业务营运，而合营公司III尚未根据合营协议成立。
各订约方订立终止协议，以于2024年4月5日终止合营协议。各订约方获豁免其于合营协议之出资及所有其他责任及承担。任何订约方概无就终止合营协议已付或应付任何终止费用或其他补偿。
公司与其他订约方达成协议，决定终止合营协议，原因为经密切监察及评估中国近期经济发展，尤其是其房地产市场带来的不确定性，董事会认为应就执行公司于中国发展文化相关业务的计划採取更为审慎的态度。
