德银天下(02418)：上海远行吸收合并上海物流 上海物流解散注销
德银天下(02418)发布公告，上海远行物流服务有限公司(公司的间接全资附属公司)的股东上海远行供应链管理(集团)有限公司于2024年1月18日作出一项书面决定，决定由上海远行吸收合并上海物流，上海物流解散注销。
上海物流成立于2015年5月，注册资本人民币1000万元，主要从事供应链、整车销售和后市场业务，其由公司直接全资附属公司上海远行100%控股。
上海物流由上海远行100%控股。出于资源优化整合需要和降本增效需求，集团决定解散注销上海物流。具体原因如下： (1) 上海物流与上海远行经营同类业务，其业务开展无地域限制，集团出于资源整合及同类型企业精简考虑，可通过上海远行作为主要业务主体承接相关业务;及 (2) 解散注销上海物流后，在不影响集团整体业务开展的情况下，可有效降低企业场地租赁、重复岗位人工成本等固定支出。
综上，董事会认为自愿清盘符合公司及其股东的整体最佳利益，且不会对集团的财务表现及经营产生重大不利影响。
