白云山(00874)拟解散广药金申基金并办理工商注销手续
白云山(00874)公布，经公司于2018年2月12日召开的第七届董事会第六次会议审议同意，该公司与广药金申、深圳市金申翊金融投资有限公司、广州国企创新基金有限公司共同投资设立广药金申基金，重点投资于《广州市国企创新投资目录》中战略性新兴产业中的生物与健康产业领域。广药金申基金目标认缴金额为人民币5.05亿元，该公司作为有限合伙人以自有资金认缴出资人民币2.00亿元，占合伙企业目标认缴金额的 39.60%。
因各合伙人未按照约定实缴出资，合伙企业成立至今未实际运营，合伙目的已无法实现，根据《广州广药金申股权投资合伙企业(有限合伙)合伙协议》约定，各合伙人经审慎考虑并协商一致，决定解散合伙企业并办理工商注销登记手续。
2024年3月15日，公司召开第九届董事会第八次会议，审议通过了《关于广州广药金申股权投资合伙企业(有限合伙)解散注销暨关联交易的议案》，同意解散广药金申基金并办理工商注销手续，并授权公司法定代表人或其授权人士后续办理具体相关事宜。
