江苏宁沪高速公路(00177)：取得无锡市交通产业集团及常州高速公路投资发展放弃对苏锡常南部高速公司65%股权的优先购买权的主张
江苏宁沪高速公路(00177)发布公告，为进一步扩大公司在苏南高速公路路网中的资产规模，完善主业布局，提升可持续发展能力，于2024年1月26日，公司(作为买方及受让方)与江苏交控(作为卖方及转让方)签署《股权转让协议》，向江苏交控协议收购其持有的苏锡常南部高速公司65%股权，对价为人民币52.01亿元(转让对价以评估报告评估值为基础按比例计算)，最终价格以国有资产管理部门备案估值为准。本次收购完成后，公司将持有苏锡常南部高速公司65%股权。
2024年3月1日，公司召开第十届董事会第二十五次会议，审议通过《关于签署江苏苏锡常南部高速公路有限公司65%股权转让补充协议的议案》，公司与江苏交控就苏锡常南部高速公司65%股权转让事项的业绩补偿承诺及对价支付方案签署《〈股权转让协议〉的补充协议》。
截至本公告日，公司已取得无锡市交通产业集团有限公司及常州高速公路投资发展有限公司放弃对苏锡常南部高速公司65%股权的优先购买权及优先购买权相关的保护时间的主张。
