三爱健康集团(01889)拟3315万元收购北京航洋健康科技51%股权
三爱健康集团(01889)公布，于2024年3月1日，公司全资附属京巴夫罗科技有限公司拟向谢海京收购北京航洋健康科技有限公司51%股权，代价为人民币3315万元。
基于华北的目标公司的主要产品，包括ODM╱OEM蜂胶保健产品及自家品牌蜂胶产品及茄红素产品。与该集团原有产品相比，目标公司主要产品(例如蜂胶产品及茄红素产品)的目标客户群较广。此外，蜂胶产品及茄红素产品的塬料(包括蜂蜜及番茄)与传统中药材的供应链不同，公司认为某程度上可作为集团生产成本的风险对冲。因此，董事会相信，收购事项有助集团多元化产品组合、扩展产品地域覆盖及降低医药及保健产品业务原料采购集中风险。
此外，董事会认为，目标公司乃中国软胶囊行业先驱。目标公司为中国首部自动滚模式软胶囊机的研发及生产试点基地、中国软胶囊机国家基准编制参与者及中国首个蜂胶软胶囊及首个液体钙胶囊的开发商。由于软胶囊亦于医药及保健产品之中日益普及，故此目标公司生产软胶囊的先进技术及完善的生产基地有助集团于未来开发更多医药及保健产品。
