智富资源投资(00007)拟发行本金总额为3900万港元的可换股票据
智富资源投资(00007)发布公告，于2024年1月23日，公司与认购人订立认购协议，公司已有条件同意发行及认购人已有条件同意认购本金总额为3900万港元的可换股票据。可换股票据未偿还本金额于兑换期内按每股兑换股份0.10港元(可予调整)的兑换价转换为兑换股份。
假设可换股票据按初始兑换价悉数兑换，将配发及发行的兑换股份合共为3.9亿股，佔本公布日期已发行股份总数约12.34%，以及佔因可换股票据获悉数兑换后发行兑换股份而扩大的已发行股份总数约10.99%(假设在可换股票据获悉数兑换后，于本公布日期至兑换股份发行日期期间，本公司已发行股本将不会有任何变动)。
每股兑换股份的初始兑换价0.10港元较2024年1月23日于联交所所报每股股份的收市价0.046港元溢价约117.4%。
发行可换股票据的所得款项净额估计约为3870万港元，该等款项拟悉数用于偿还集团负债。
