天能动力(00819)：天能股份(688819.SH)实控人张天任提议回购部分社会公众股份
天能动力(00819)公布，天能股份(688819.SH)(以下简称“公司”)于 2024 年 01 月 15 日收到公司实际控制人、董事长张天任先生《关于提议天能电池集团股份有限公司以集中竞价交易方式回购公司社会公众股股份的函》。本次回购资金总额不低于人民币 5,000 万元，不超过人民币1亿元(含)。回购价格不超过人民币 42.00 元/股(含)。
基于对公司未来发展的信心和对公司价值的认可，为建立完善公司长效激励机制，充分调动公司员工的积极性，有效地将股东利益、公司利益和员工利益紧密结合在一起，促进公司健康可持续发展，根据相关法律法规，张天任先生提议公司以集中竞价交易方式回购部分社会公众股份。
按照本次回购金额下限人民币 5000 万元、回购金额上限人民币1亿元和回购价格上限 42.00 元/股进行测算，本次拟回购数量约为 119.05万股至238.095万股，约占公司目前总股本的比例为 0.12%至 0.24%。
