汇森家居(02127)拟折让约18%配售最多6.14亿股配售股份 净筹约7860万港元
汇森家居(02127)发布公告，于2024年1月11日，公司与配售代理订立配售协议，公司已有条件同意透过配售代理按尽力基准，以每股配售股份0.13港元的配售价，向不少于六名承配人(彼等均为个人、机构或专业投资者，且彼等及彼等的最终实益拥有人均为独立第三方)配售最多6.14亿股配售股份。配售股份将根据一般授权配发及发行。
假设于本公告日期至完成配售事项期间，公司已发行股本概无变动，配售事项项下6.14亿股配售股份的最高数目相当于公司经配发及发行配售股份扩大后已发行股本约16.67%。每股配售股份0.13港元的配售价相当于1月11日收市价每股股份0.158港元折让约18%。
假设全部配售股份获悉数配售，配售事项的所得款项净额(经扣除配售佣金以及其他相关开支及专业费用后)将约为7860万港元。公司拟将配售事项所得款项净额用于购买原材料(例如木材)以制造原设计制造(ODM)产品。董事会认为配售协议及其项下拟进行的交易的条款(包括配售事项、配售价及配售佣金)乃属公平合理且符合公司及股东的整体利益。
