成都四威电子拟将四威科技(01202)34%股权转让予成都四威高科技
四威科技(01202)公布，于2024年1月3日，该公司获公司间接控股股东中国电子科技集团公司第二十九所告知，该公司的实际控股股东中国电子科技集团有限公司已于2023年 12月29日同意有关建议重组的建议，据此，成都四威电子有限公司应将其于该公司的34%股权转让予中国电子科技的间接全资附属公司成都四威高科技产业园有限公司。
根据公司收购、合并及股份回购守则规则26.1，成都四威高科技因建议重组而收购投票权将触发成都四威高科技及其一致行动人士就尚未拥有或同意收购的公司所有已发行股份作出强制性全面要约的责任，除非获香港证券及期货事务监察委员会企业融资部执行董事或其任何代表豁免严格遵守收购守则规则26则作别论。因此，公司已于2024年1月8日向执行人员申请豁免根据收购守则规则26.1注释6作出强制性全面要约的责任。
于本公告日期，成都四威电子仍为该公司的控股股东。
