芯智控股(02166)终止合并铭冠集团
芯智控股(02166)发布公告，根据集团的策略计划，为了将公司的资源集中于授权分销业务，集团一名代表已不再担任铭冠香港董事及铭冠香港董事会成员，自2023年12月31日起生效。据董事经作出一切合理查询后所深知、尽悉及确信，由于集团于辞任后将不再拥有铭冠香港董事会大多数控制权，故铭冠集团将自集团综合财务报表中终止合并。董事认为，集团将自终止合并中受益，避免产生不必要的成本，包括法律及专业费用、员工成本、相关福利开支及其他行政开支。该公司直接全资附属公司Smart IC Cloud与四名股东已订立新股东协议以取代现有股东协议，且铭冠香港的组织章程细则亦已修订，以反映终止合并及该行动带来的变动。
终止合并既不涉及任何代价，亦不牵涉铭冠香港股权变动。由于撇除铭冠集团收益，故此预期集团收益将于终止合并后减少。然而，预期终止合并将不会导致公司股东应占集团权益及公司股东应占利润出现任何重大变动。
