保集健康(01246)拟以2945.9万港元出售珍旋已发行股本的51%
保集健康(01246)发布公告，于2023年12月29日(交易时段后)，公司与买方Excellent Speed Limited订立该协议，据此，公司同意出售而买方同意购买目标股份，相当于目标公司珍旋有限公司已发行股本的51%，代价为2945.9万港元。
公告称，考虑到当前的市场情绪，以及有关分部的持续亏损业绩及最小的营运规模，公司认为公司的地基打桩分部在中短期内不会转亏为盈，且出售事项将符合公司及股东的利益，致使集团能够投放更多财务资源于其他表现较佳的业务分部及潜在商机。此外，出售事项为集团提供宝贵机会，使其于无需任何现金支出的情况下以抵销方式全额偿还未偿还贷款金额，并减少集团的债务及相关财务成本并改善其整体财务状况。
