国家联合资源(00254)拟最高9000万港元收购City Gear Limited
国家联合资源(00254)公布，于2023年12月27日，该公司间接全资附属万昌国际企业有限公司拟向谢民雄收购City Gear Limited全部已发行股本及贷款，代价最高为9000万港元。
根据买卖协议，于完成后，买方将向卖方发行本金额为4000万港元的承兑票据。
据悉，北京锐信乃目标集团的主要营运附属公司，成立于2006年，主要从事行业资讯解决方案的研发、生产、销售及服务。客户包括政府机关、国营企业以及从事金融、文化、教育、医疗等行业企业。
公告称，该集团于本年中，在杭州设立了数据分析处理中心，开始进军数字经济与技术行业，建议收购事项也是集团对这个战略规划的重要一步。北京锐信在以往的业务中，曾经出色地完成了为校园及校车建立管理系统，为企业建立危险品管理系统等。该集团管理层预计北京锐信不但可以为集团目前的主营业务通勤班车校车业务和集团计划展开的大宗商品物流业务提供强而有力的IT管理支持，同时集团可以通过建议收购事项增加集团的收入来源，有利于集团的持续发展，令公司及股东整体受益。
