国美零售(00493)与京东签订协议积极偿还部分债务 可换股债券转股价为1.24港元
国美零售(00493)发布公告，于2023年12月27日，该公司及其两家附属公司(即国美电器及卖方宁波梅山保税港区国美信盛达创业投资合伙企业(有限合伙))与江苏京东邦能投资管理有限公司(买方)及债券持有人Danube Innovation Limited(由JD.com,Inc最终控制)就结算部分债券订立协议。
据悉，于2020年5月28日，该公司与JD.com,Inc的全资附属JD.com International Limited(认购人)订立认购协议，认购人同意认购该公司发行的本金额为1亿美元于2023年到期的5厘可换股债券。于2020年6月30日，该公司发行该等债券，该等债券已于2023年6月30日到期，但该等债券于本公告日期仍未偿还。
根据协议，卖方将向买方出售深圳十分到家服务科技有限公司的21.6495%股权，代价为1.05亿元，该代价将悉数用于结算等值债券。预期该集团将实现出售收益约人民币1300万元。
于股权转让完成后且不早于2024年2月17日，债券持有人将根据债券条款将相当于本金额人民币1.45亿元的债券转换为股份，转股价为1.24港元，即将向债券持有人发行合共1.2864亿股换股股份，占公司现有已发行股本约0.27%。
公告称，进行协议下的拟进行交易旨在使公司能够偿还部分债券，并使公司能够继续与债券持有人真诚讨论结算债券的解决方案。
