中食民安(08283)拟1900万元收购上海天玑中为实业发展100%股权
中食民安(08283)发布公告，于2023年12月26日，买方(中食太安(山东)科技咨询有限公司，为公司的间接全资附属公司)拟向卖方(许香月、上海宙宝农产品销售有限公司)收购目标公司(上海天玑中为实业发展有限公司)100%注册资本，总代价为人民币1900万元，须以现金及透过根据一般授权配发及发行3.58亿股代价股份(入账列为缴足)而支付。
3.58亿股代价股份相当于本公告日期公司现有已发行股本约17.88%及紧随完成后经配发及发行代价股份而扩大的公司已发行股本约15.17%。
据悉，目标公司为食品供应服务提供商，主要从事提供优质食品供应、生鲜食品外卖等服务，并经营农产品供应链平台。
2022年，集团进军中国内地的新智慧厨房细分领域，拟推行从线下零售店业务，到外卖业务、小包菜业务、餐饮品牌孵化、 SaaS+赋能等多种业务并行的发展模式以发展智慧厨房业务。董事认为，收购事项将使集团能够获取稳定可靠的食品供应和外卖产能，配合其智慧厨房业务。
