广州农商银行(01551)拟溢价约14.49%配售不超约5.496亿股新H股 净筹约13.01亿港元
广州农商银行(01551)发布公告，于2023年12月20日，该行(作为发行人)与华泰金融控股(香港)有限公司、中国国际金融香港证券有限公司(统称配售代理)订立配售协议，各配售代理已同意担任该行代理，并尽最大努力促使承配人根据配售协议所载条款及条件，按每股配售股份配售价合共认购不超过约5.496亿股新H股。本次配售股份预期将配售予不少于六名独立承配人。
配售股份数目分别相当于截至本公告日期现有已发行H股总数及现有已发行普通股总数约25.86%及4.80%;及紧随完成配售后经发行配售股份扩大后的现有已发行H股总数及现有已发行普通股总数约20.55%及4.58%(假设所有配售股份均获悉数认购，且于本公告日期至完成期间已发行股份总数不会出现变动，惟配售除外)。
配售价为每股配售股份2.37港元，较H股于2023年12月20日协议签订日期在香港联交所所报收市价每股H股2.07港元溢价约14.49%。
配售的所得款项净额预计约为13.01亿港元(按此基准计算，每股配售股份净价约为2.37港元)，经扣除相关发行成本后将全部用于补充该行核心一级资本。
