滇池水务(03768)拟以预计不超过4875.60万元向湖南志鸿纸业转让宏宇热电100%股权
滇池水务(03768)发布公告，公司已收到昆明联合产权交易所发出的有关公司出售宏宇热电100%股权成功中标者的身份的通知。根据相关法律法规及昆明联合产权交易所相关交易规则规定，于2023年12月20日(于交易时段后)，公司(作为转让方)、湖南志鸿纸业(作为受让方)及宏宇热电(作为目标公司)订立产权交易合同。据此，公司有条件同意出售及受让方有条件同意购买宏宇热电100%股权，代价包括股权转让价款人民币4357.87万元及公司向宏宇热电提供的借款本金人民币502.00万元及利息，其中借款利息以实际归还之日止计算的金额为准，预计总代价将不超过人民币4875.60万元。
于出售事项完成后，集团将不再拥有宏宇热电权益，宏宇热电将不再为公司的附属公司，且其财务业绩将不再综合并入集团的综合财务报表。
公告称，进行出售事项有利于公司更加聚焦优势主业，同时可以使公司提前收回投资款项，使公司在物色及参与其他合适的投资机遇时拥有更大灵活度。
