荣阳实业(02078)附属拟1639.35万元出售昌吉准东经济技术开发区宏睿铝业全部股权
荣阳实业(02078)发布公告，于2023年12月19日，卖方(荣阳铝业(中国)有限公司)、买方(苏州博能炉窑科技有限公司)及出售公司订立买卖协议，卖方有条件地同意出售及买方有条件地同意购买出售公司100%股权，代价为1639.35万元(人民币，下同)。
据悉，出售公司为昌吉准东经济技术开发区宏睿铝业有限公司，主要从事制造、加工及买卖铝制品。出售公司于截至2021年及2022年12月31日止年度的扣除税项及特别项目后亏损净额分别约为2645.25万元、1.02亿元。于2023年6月30日，出售公司全部股权的未经审核账面净值约-1.49亿元。
公告称，集团已终止出售公司的生产线，并根据租赁协议向买方租赁出售公司的资产，以精简其非核心业务。出售事项为集团提供机会变现出售股权的价值。出售事项对集团有利，因其为集团的业务发展提供资金，使集团能够提高流动性及灵活性，亦有助于优化资产结构，精简非核心业务及提高集团内部的资本效率。预期集团将因出售事项取得收益净额约395.6万港元，集团拟将出售事项的所得款项净额用作一般营运资金。
