中国擎天软件(01297)获控股股东辛颖梅溢价约29.41%提私有化 12月15日复牌
中国擎天软件(01297)及要约人Worth Glory Limited联合宣布，于2023年12月8日，要约人要求董事会向计划股东提呈该建议，建议以协议安排方式将公司私有化，倘该建议获批准及实施，将导致要约人根据公司法第86条私有化公司，并撤回股份上市地位。注销价0.330港元较12月8日收市价每股股份0.255港元溢价约29.41%。
于协议安排生效后，所有计划股份将被注销及剔除(同时向要约人发行入账列作缴足的相同数目的新股份)，且计划股份的股票证书于其后将不再具有所有权文件或证据的效力。公司将根据上市规则第6.15条申请撤回股份于联交所的上市地位，自生效日期起生效。
据悉，于本联合公告日期，要约人由Long Capital全资拥有。要约人并无任何附属公司。协议安排生效后，公司及其附属公司将成为要约人的附属公司。于本联合公告日期，要约人的唯一董事为辛颖梅女士(董事会主席及公司执行董事，以及公司控股股东)。
此外，公司已向联交所申请于2023年12月15日上午九时正起恢复股份在联交所买卖。
