中国生态旅游(01371)：附属富昌违反融资条款责任
中国生态旅游(01371)发布公告，于2023年10月，公司间接全资附属公司豫威有限公司(豫威)作为抵押人接获中国一间债权银行(债权人)的通知书，内容有关债权人向公司间接全资附属公司富昌科技有限公司(富昌)授出的一项未偿还本金港币1.62亿元的贷款融资，指称富昌作为借款人违反了该融资条款的责任，该融资已由豫威拥有的房产作为担保物。截止2022年11月18日，该房产的公平值由独立评估师评估为港币3.24亿元。
此外，根据2023年到期、年息7.0%金额为港币1.54亿元可换股债券的条款及条件，若任何债券到期时未能支付本金或利息，则发生违约事件，公司需要在付款到期日后叁个工作天内支付该债券。该债券的条款和条件规定，付款和最后一次利息支付在2023年11月10日到期。于到期日，公司尚未支付该债券本金及最后一期利息。
公司目前正在与债权人和该债券持有人进行讨论，以寻求他们的同意和宽限，让集团在制定债务重组计划期间暂缓采取行动及给予公司还款延期。有鉴于上述情况，公司一直与其顾问密切合作，对集团的财务状况进行审查并制定可行的重组计划。
