美图公司(01357)：Pixocial完成A轮股权融资
美图公司(01357)公布，有关Pixocial的股权融资，交割的所有先决条件已达成或获豁免(按适用情形)，且与所有投资者的交割于2023年12月1日同时发生。交割后，该公司将仍然继续持有Pixocial约80.62%的股份(按悉数摊薄基准)。
根据股份认购协议，紧接交割前及于交割日期，Pixocial采纳Pixocial期权计划，据此，约764.26万股普通股(按悉数摊薄及已转换基准计算，占Pixocial已发行及流通在外股本的约 6%)予以保留，以向若干服务提供者发行。
根据股份认购协议，于交割日期按照Pixocial期权计划的条款以零对价向吴泽源及宋明阳各自授出Pixocial期权，使其各自有权以每股普通股0.00001美元的行使价购买约191.07万股普通股(按悉数摊薄及已转换基准计算，占Pixocial已发行及流通在外股本的约1.5%)。
