立高控股(08472)拟折让30.23%按“1供3”基准发行供股 最多净筹约4170万港元
立高控股(08472)公布，该公司建议按“1供3”基准发行最多7200万股供股股份(假设已发行股份数目于记录日期或之前并无变动)，每股供股股份0.60港元，较2023年11月24日收市价每股0.86港元折让30.23%，最多募资4320万港元，净筹约4170万港元。
根据GEM上市规则第10.31(1)(b)条，公司将作出补偿安排，透过向独立承配人提呈发售配售股份的方式出售未获认购供股股份及除外股东未售出供股股份(即配售股份)，利益归相关不行动股东及除外股东所有。由于设有补偿安排，故不会就供股作出额外申请安排。
因此，于2023年11月24日(联交所交易时段后)，该公司与配售代理订立配售协议，据此，该公司已委任配售代理于配售期按尽力基准向承配人(其本身及其最终实益拥有人为独立第三方)配售配售股份。所变现的任何超出认购价的溢价将按比例支付予不行动股东及除外股东。该公司将不会发行配售事项下未配售的任何配售股份，而供股的规模将相应削减。
