中国交通建设(01800)公布，于本公告日期，三家公路院及祁连山有限已分别就建议资产重组完成股东变更的工商登记手续。因此，于本公告日期，三家公路院成为祁连山直接持有的全资附属公司;该公司及中国城乡分别持有祁连山有限85%及15%股权，祁连山有限成为该公司的非全资附属公司，其财务业绩将纳入该公司的合并财务报表范围。
于本公告日期，托管协议项下所有先决条件已达成，托管协议已生效。
