渝太地产(00075)附属拟196万元出售成都润滨企业管理全部股权
渝太地产(00075)发布公告，于2023年11月22日，卖方(公司间接全资附属成都渝太企业管理有限公司)与买方(成都起筑企业管理有限公司)订立该协议，卖方同意出售及买方同意收购销售权益，即目标公司全部股权，代价为现金人民币196万元。
据悉，目标公司为成都润滨企业管理有限公司，是一家在中国注册成立的有限责任公司，主要从事投资控股，其主要资产目前为成都润其的全部股权，成都润其的主要业务为发展及买卖目标项目。于2023年11月16日，目标集团的未经审核综合负债净值约为人民币4763万元。截至2021年12月31日和2022年12月31日止财政年度，目标集团的除税后亏损净额分别为1527万港元、1714万港元。
公告称，公司预计于成交时将取得约人民币4959万元税前盈利，为代价超出目标集团未经审核的综合负债净值;成交后，经扣除所有相关成本及开支，集团预期可收取的所得款项净额约为人民币196万元，集团拟将所得款项净额用于其他可能呈现给集团的投资机会及/或补充集团一般营运资金。
