复星国际(00656)建议分拆Luz Saúde并于里斯本泛欧交易所独立上市
复星国际(00656)发布公告，公司已根据第15项应用指引向香港联交所递交申请，寻求批准建议分拆及独立上市，而香港联交所已于2023年9月29日确认公司可进行建议分拆及独立上市。
预计建议分拆及独立上市将涉及通过私募配售方式认购Luz Saúde新发售的股份，及由Fidelidade出售其持有的现有Luz Saúde的股份。在建议分拆及独立上市后，预计Luz Saúde将仍为公司的附属公司。
公司获告知，Luz Saúde将于2023年12月22日召开股东大会，以批准(其中包括)于建议分拆及独立上市项下Luz Saúde的股份于里斯本泛欧交易所交易及进行私募配售。
据悉，Luz Saúde集团是葡萄牙医疗保健市场最大的私人医疗保健集团之一，在葡萄牙提供广泛的综合医院和临床服务，包括重症监护病房、手术室、急诊室(不包括创伤科)、产科和心臟科，以及在肿瘤学、康复服务、核医学、放射治疗和痴呆症护理领域提供住院和门诊服务的专业科室。
