洛阳钼业(03993)拟吸收合并洛阳冶炼
洛阳钼业(03993)发布公告，洛阳栾川钼业集团冶炼有限责任公司为公司的全资子公司。为进一步优化公司管理架构，降低管理成本，提高运营效率，公司拟依法定程序吸收合并洛阳冶炼。
本次吸收合并事项不构成关联交易，亦不构成重大资产重组。根据《中华人民共和国公司法》等有关法律法规及《公司章程》的规定，本次吸收合并事项需提交公司股东大会审议批准。
本次吸收合并有利于进一步优化管理架构，提高运营效率，降低管理成本，符合公司发展战略。洛阳冶炼系公司的全资子公司，经营业务主要来源于公司，财务报表已纳入公司合并报表范围内，本次吸收合并属于内部股权整合事项，不会对公司的财务状况和经营成果产生影响，亦不会损害公司及全体股东的利益。
本次吸收合并不涉及公司名称、注册资本、股权结构变化，公司董事会、监事会和高级管理人员的组成不变。
