铁货(01029)获董事会主席Levitskii收购4.02亿股公司股份及溢价约32.58%提现金要约 11月9日复牌
铁货(01029)及要约人AXIOMA CAPITAL FZE LLC联合公布，要约人与卖方OIKKU FINANCE LIМITED订立买卖协议，卖方已同意出售，而要约人已同意购买4.02亿股销售股份(占公司于本联合公告日期的已发行股本总额约4.72%)，代价为4741.39万港元，相当于每股销售股份0.118港元。收购事项已于2023年11月1日完成。
于本联合公告日期，公司的已发行股份为85.2亿股。紧接收购事项完成前，要约人及其一致行动人士于22.06亿股股份(占公司已发行股本总额约25.89%)中拥有权益。紧随收购事项完成后，要约人及其一致行动人士于26.08亿股股份(占公司已发行股本总额约30.61%)中拥有权益。
因此，根据收购守则规则26.1，要约人须就所有已发行股份(要约人及其一致行动人士已拥有及/或同意收购的该等股份除外)就每股要约股份现金0.118港元而言提出强制有条件现金要约。要约价较11月1日收市价每股0.089港元溢价约32.58%。
据悉，要约人由非执行董事兼董事会主席Levitskii先生全资、最终及实益拥有。其主要从事证券投资及管理。Levitskii先生，51岁，在俄罗斯的矿业、石油及天然气以及银行业行业工作30年。
公司已向联交所申请自2023年11月9日(星期四)上午9时正起恢复股份在联交所买卖。
