长飞光纤光缆(06869)出售于云晖光电持有的全部股权
长飞光纤光缆(06869)发布公告，云晖光电(作为目标公司)、Lumentum(作为买方)、Merger Sub(Lumentum全资附属公司)及Fortis Advisors(以独立代理人身份为及代表云晖光电股份持有人(作为卖方)行事)于2023年10月30日(中国标准时间)订立合并协议，Lumentum将通过将Merger Sub合并并并入云晖光电以现金方式收购云晖光电的全部股权(合并)，总对价为7.5亿美元，其中该公司的直接全资附属公司长飞香港将以对价8400万美元出售及处置其于云晖光电的全部股权，相当于云晖光电股权约11.2%。于合并完成后，云晖光电将成为Lumentum的全资附属公司及集团将不再拥有云晖光电的任何股权。
于交割后，集团预期将就出售事项确认投资收益约人民币4.4亿元。通过出售事项，集团将增加现金流入，继而将加强集团开展其核心业务活动以实现进一步增长及拓展的能力，从而提高其利润水平及为股东带来的投资回报。董事认为，出售事项将不会对公司的业务产生任何重大影响，且符合公司及其股东的整体利益。
