药明康德(02359)终止实施2023年H股奖励信托计划并拟回购注销1546.75万股H股股份
药明康德(02359)发布公告，于本公告日期，计划受托人已使用公司自有资金通过市场内交易方式购买了公司1546.75万股H股股份作为奖励股份的来源(已购入奖励股份)，惟该等已购入奖励股份尚未授予任何选定参与者。
由于公司业绩增长不及预期，公司管理层主动向董事会提议终止2023年H股奖励信托计划并回购注销1546.75万股H股股份。考虑到股东于2022年年度股东大会、A股类别股东会议及H股类别股东会议审议通过了关于给予董事会回购公司A股和/或H股股份一般性授权的议案，公司于2023年10月30日召开第三届董事会第四次会议，董事会一致通过《关于终止公司2023年H股奖励信托计划及回购注销H股股份的议案》，决定终止实施2023年H股奖励信托计划，并拟回购注销1546.75万股H股股份。注销H股股份数量占截至本公告日期公司已发行股本总数约0.52%，注销完成后相应减少公司的注册资本人民币1546.75万元。
