华邦科技(03638)拟折让约13.79%配售最多约1.05亿股 净筹约2550万港元
华邦科技(03638)发布公告，于2023年9月5日，配售代理与公司订立配售协议，公司有条件同意通过配售代理按尽力基准向不少于六名承配人(彼等及彼等的实益拥有人均为独立第三方)配售最多约1.05亿股配售股份，配售价为每股配售股份0.25港元。配售股份将根据于2022年9月21日举行的2022年股东周年大会上授予董事的一般授权配发及发行。
假设于本公佈日期至完成配售事项期间，公司的已发行股本并无任何变动，配售事项下的配售股份最高数目相当于于本公佈日期公司现有已发行股本5.26亿股股份20%;及经配发及发行配售股份而扩大的公司已发行股本约16.67%。配售事项下的配售股份最高数目总面值将约为87.7万港元。
每股配售股份的配售价为0.25港元，较股份于配售协议日期在联交所所报收市价每股0.29港元折让约13.79%;及紧接配售协议日期前最后五个交易日的平均收市价每股0.29港元折让约13.79%。
预期配售事项的所得款项净额最高约2550万港元。配售事项的所得款项净额拟用作集团的一般营运资金。每股配售股份的净价约为0.243港元。
