特海国际(09658)建议双重主要上市
特海国际(09658)公布，已决议以在美国纳斯达克股票市场建议首次公开发售代表公司将发行的新普通股的美国存托股份的方式继续推进建议双重主要上市。
于2024年4月26日(美国东部时间)，公司就发售向美国证券交易委员会公开提交一份F-1表格登记声明，该登记声明尚未生效。在登记声明生效之前，不得出售美国存托股份，亦不得接受购买美国存托股份的要约。相关股份将根据公司股东于2023年5月30日召开的公司股东週年大会上授予董事的一般授权配发及发行。根据一般授权，董事会获授权发行最多约1.24亿股新股份。
董事会相信，建议双重上市(倘获进行)将为美国存托股份创造公开市场、扩大公司股东基础、获得额外资本、提升公司在国际资本市场和消费市场的企业形象和影响力，及进一步加强股份流动性。公司将透过发售筹集更多资金，主要用于提升品牌以及扩大全球餐厅网络。
待发售美国存托股份的数量和发售价格尚未确定。公司已申请在纳斯达克股票市场上市美国存托股份，股票代码为“HDL”。
