ASIC限制Smiles Inclusive Ltd发行缩减内容的招股书
澳洲证券及投资委员会(ASIC)日前发布公告称，已下令限制实体Smiles Inclusive Limited（以下简称“Smiles”）相关资格，即不得在2021年10月19日之前发行内容缩减的招股说明书。
这一决定意味着，Smiles将不能依靠保密披露规则，如果该实体希望从散户投资者那里筹集资金，则必须发行一份完整的招股说明书。
ASIC表示，该决定是基于Smiles未能按照《2001年公司法》的要求在75天内提交公司截至2019年12月31日的半年财务报告，董事报告和审计报告。
ASIC认为，能否使用减少披露的招股书是一项特权，取决于公司是否遵守法律的其他方面，包括其是否履行其持续披露义务。
如果公司未能全面、准确和及时地履行其定期披露义务，ASIC将进行干预，以确保散户投资者得到保护。在这种情况下，后续的募资应该在有完整的招股说明书的情况下进行，这样才能充分披露公司的前景和财务状况。
截至当前，Smiles相关证券已被责令在澳大利亚证券交易所暂停交易。同时，监管当局亦表示，Smiles有权向行政上诉法庭提出上诉，以复审ASIC的决定。
