1、场内交易有固定的场所（证券交易所），在固定的时间、按一定规则进行；场外交易没有固定的场所和固定的时间，通过电话也可以成交；
2、场内交易是一种竟价交易方式，是按最高还价或最低还价成交的，证券价格的确定是公开拍卖的结果；场外交易是随行就市，通过买卖双方讨价还价，直接协商决定成交价格，采用议价交易方式。
3、场内交易一般多是以100股为单位数量的整股交易，场外交易则比较分散、灵活、零星；
4、场内交易市场仅买卖已上市的股票（即符合交易所规定并在交易所注册的股票）；场外交易即可买卖上市股票，也可买卖未上市的股票。
