新民晚报讯（首席记者 连建明）为优化并购重组审核机制，上交所昨晚（4月30日）发布消息，拟增设科创板上市公司并购重组委员会，负责科创板上市公司发行股份购买资产及重组上市申请的审议。为此，上交所拟修订《上海证券交易所科创板上市公司重大资产重组审核规则》、《上海证券交易所科创板上市委员会管理办法》，现公开征求意见。
《审核规则》拟修订主要内容包括：一是增加科创公司发行股份购买资产申请的并购重组委审议程序，将重组上市由现有的科创板上市委员会审议调整为并购重组委审议，同步修改涉及的全部相关条文；二是调整审核时间，完善相关计算规则。
《上市委管理办法》拟修订主要内容包括：一是明确设立并购重组委，规定并购重组委的职责；二是规定并购重组委的履职、会议组织、审议工作监督等按照科创板上市委员会相关规定执行。
