智通财经APP获悉，12月21日，拼多多(PDD.US)官网披露，一名全球机构投资者将通过定向增发购买拼多多近5亿美元的新发行A类普通股，占新股发行后总股数约0.3％。交易定价参考了最近五个交易日的成交量加权平均价格。同时，投资者同意新发行股票的锁定期为六个月。交易预计于2020年12月24日左右完成。依据《证券法》第4(a)(2)节关于不涉及公开发行的交易，即《证券法》第S条的规定，本次股票发行豁免于《1933证券法修订案》的登记要求。
