智通财经APP获悉，特斯拉(TSLA.US)周三披露的一份文件显示，该公司为CEO马斯克个人购买了价值300万美元的90天商业保险，该保险可以赔偿公司董事和高管的某些法律费用。
今年4月，特斯拉告诉股东，他们将在一年内放弃董事和高管责任保险。取而代之的是，他们将支付并依靠马斯克个人来支付任何公司或董事会成员法律辩护、和解或判决的费用。当时，特斯拉方面表示，采取这种方式是因为董事和高管责任保险的保费太高。
但法律专家认为，这是一个极不寻常的举动，有可能在马斯克和应该监督他的董事会之间产生利益冲突。特斯拉正面临着各种高风险诉讼，包括其汽车中电池的长期性能以及收购太阳能供应商SolarCity的决定。
底特律Hirzel Law的管理成员Kevin Hirzel表示：“用高管的个人担保取代董事和高管的保险单，在任何时期都是非常不寻常的，如果CEO根据赔偿协议担保支付，就会导致潜在的利益冲突，威胁到董事会的独立性。”
